Welcome to ML Enterprise Inc. (“Engine by MoneyLion”, “Engine”, "Even”, “ML Enterprise”, “we”, “us”, “our”). This Site is operated by Engine by MoneyLion and has been created to provide information to our visitors (“you,” “your”) about our company and our online content, tools and services, whether such content, tools and services are accessed on the Site or through third-party websites, mobile sites and/or applications (together with the Site, the “Services”). This Privacy Policy describes how Engine by MoneyLion collects, uses and discloses information from visitors to the Services, including personally identifiable data (“Personal Data”).

We collect Personal Data from you when you voluntarily provide such information, including but not limited to when you access, complete and/or use one of our online forms, tools or content items, contact us with inquiries, respond to one of our surveys, register for access to the Services or use certain Services.

If you complete one of our online forms, you may be asked to provide Personal Data in order to provide the Services as described:

For clarity, Engine by MoneyLion collects Personal Data from you to, in part, provide you with personalized content and information related to financial products, but Engine by MoneyLion is not a lender, credit card issuer, bank or other similarly situated financial institution. Any loan or related product to which you may become a party is solely transacted between you and the applicable provider and is not a part of the Services.

By voluntarily providing us with Personal Data, you are consenting to our use of your Personal Data in accordance with this Privacy Policy. You represent that the Personal Data you provide is true, accurate, current and complete, and that you have the authorization to provide it to us. If you provide Personal Data to the Services, you acknowledge and agree that such Personal Data may be transferred from your current location to the offices and servers of Engine by MoneyLion and the authorized third parties referred to herein.

INFORMATION AUTOMATICALLY COLLECTED:

Whenever you interact with the Services, Engine by MoneyLion may automatically receive and record information from your computer, browser and/or mobile device, which may include the following:

IP Addresses:

The requests you make to Engine by MoneyLion may contain your IP address (the Internet address of your computer). We may use visitors’ IP addresses for various purposes, including to display customized content and analyze and report upon usage of the Services; to diagnose and prevent service or technology problems affecting the Services; and to monitor and prevent fraud and abuse.

Device IDs:

We may collect information on the type of device you are using, operating system, settings, browser and OS information, unique device identifiers, network information and other device-specific information. The information collected may depend on the type of device you use and its settings.

Location Data: We may collect location data based on your IP address and the geolocation of your device. We collect this data to better tailor our services to you and to help provide service offerings available to you in your geographic area.

Usage Information: We collect information about how you use our Services, such as the types and categories of content that you view or engage with, the features you use, the actions you take, and the time, frequency and duration of your activities on the Site.

In operating the Services, we may use cookies, web beacons and similar technologies. This Privacy Policy covers the use of cookies, web beacons and similar technologies by Engine by MoneyLion only. Engine by MoneyLion does not sell or share your cookies other than as described in this Privacy Policy. Uses of these technologies by third-party advertisers or websites linked from the Services, including third parties with which we partner, are governed by each such advertiser or website’s privacy policy.

Cookies & Analytics:

A cookie is a piece of information that the computer that hosts our Services gives to your browser when you access the Services. Cookies help provide additional functionality to the Services, customize users’ experiences with the Services and help us analyze Services usage more accurately for research, advertising and marketing purposes. This research may be compiled and analyzed on an aggregate basis, and Engine by MoneyLion may share this aggregate data with our affiliates, agents, service providers and other third parties with whom we do business. Engine by MoneyLion uses the Personal Data you provide in a manner that is consistent with this Privacy Policy. Generally, we may use information we collect in the following ways.

Engine by MoneyLion and our subsidiaries and affiliates (the “Engine by MoneyLion Related Companies”) may also use your Personal Data and other personally non-identifiable information collected through the Services to help us improve the content and functionality of the Services, to better understand our users, to offer new products and Services and to improve the Services.

We also use research vendors, such as Hotjar, in order to better understand our users’ needs and to optimize this service and experience. The technology we may use helps us better understand our users’ experience (e.g. how much time they spend on which pages, which links they choose to click, what users do and don’t like, etc.) and this enables us to build and maintain our service with user feedback. These services may use cookies and other technologies to collect data on our users’ behavior and their devices. This includes a device's IP address (processed during your session and stored in a de-identified form), device screen size, device type (unique device identifiers), browser information, geographic location (country only), and the preferred language used to display our website. The vendor may store this information on our behalf in a pseudonymized user profile. They are contractually forbidden to sell any of the data collected on our behalf. Partners and Third-Party Sources:

We may also obtain information about you from third-party sources, such as our partners. We may also, at your direction, receive information from third-party services that provide you an ability to share information you have provided to the third-party through the use of an application program interface (API), such as Plaid. If we combine or associate information from other sources with your information that we collect through the Services, we will treat the combined information in accordance with this Privacy Policy, the Terms, and applicable law.

Marketing:

Engine by MoneyLion and Engine by MoneyLion’s financial providers with whom we share your information for product pricing may use your Personal Data to communicate with you by email, postal mail or by text message to provide you with:

  • Information regarding your application status, or transactional information relevant to your account.
  • Opportunities, surveys and promotions related to your submitted request available through the services or products of our financial providers that we think may be of interest to you.
  • Information or content – such as articles or white papers – that we believe would be of interest to you through email, text messages, or postal mail.

Each marketing-related communication we send you will contain instructions permitting you to “opt-out” of receiving future marketing communications. If Engine by MoneyLion intends on using any Personal Data in any manner that is not consistent with this Privacy Policy, you will be informed of such anticipated use prior to or at the time at which the Personal Data is collected.

You may choose to unsubscribe from marketing emails or mail by submitting an unsubscribe request form, emailing help@engine.tech or at the address below and asking to be removed from any correspondence. Although we will remove you from our marketing lists you may still receive transactional messages related to the Services.

We may contract with third-party advertising companies and social media companies to display ads on their service. These companies may use cookies and similar technologies to track your activity, the information collected by these third parties in this manner is subject to that third party’s own privacy policies. We may also use aggregated information from these sources for creating similar audiences in order to better target advertisements on their networks to potential consumers who appear to have shared characteristics. OUR DISCLOSURE OF YOUR PERSONAL DATA:

Engine by MoneyLion is not in the business of selling your Data to third parties. If your Personal Data was provided in a request for financial services, please see our GLBA Privacy Notice.

IP address, Internet activity information, including, but not limited to, browsing history, search history, and information regarding a consumer's interaction with an Internet Web site, application, or advertisement. Like many companies, we use services that help deliver interest-based ads and personalization to you, which may involve transfer of Personal Data to business partners for their use, such as Google Analytics. Because the definitions of ‘Personal Data,’ ‘share,’ and ‘sale’ under CCPA are broad, making Personal Data available to these companies may be considered a “sale” or “sharing” under CCPA. Certain Business Partners: When we partner with other businesses to provide content or services to you or to such business partners, we may share relevant Personal Data in connection with such content or services. For example, we will share your contact and other information with a lender and/or service provider if the information you provide in one of our online forms or tools matches certain criteria for loan products offered by such lender and/or loan originator.

Business Analytics: When we partner with certain businesses in order to learn and improve user interface, content, site performance, and our offerings. For example, Information may be shared in order to improve your experience on partner sites as well as on our site.

Business Transfers: As we develop our business, we might sell or buy businesses or assets. In the event of a corporate sale, merger, reorganization, dissolution or similar event, Personal Data may be part of the transferred assets. Your Personal Data could also be shared with professional advisors and counterparties during such events.

Related Companies: We may also share your Personal Data with the Engine by MoneyLion Related Companies for purposes consistent with this Privacy Policy.

Agents, Consultants and Related Third Parties: Engine by MoneyLion, like many businesses, sometimes hires other companies to perform certain business-related functions. Examples of such functions include mailing information, maintaining databases and providing marketing assistance. When we employ another entity to perform a function of this nature, we only provide them with the information that they need to perform their specific function.

Legal Requirements: Engine by MoneyLion may disclose your Personal Data if required to do so by law or in the good faith belief that such action is necessary to (i) comply with a legal obligation, including responding to a subpoena, warrant, or other legal process, (ii) protect and defend the rights or property of Engine by MoneyLion (iii) act in urgent circumstances to protect the personal safety of users of the Services or the public, or (iv) protect against legal liability.

In general, you can visit the Services without providing Personal Data. If you choose not to provide any Personal Data, however, you may not be able to use certain features of the Services.

Registration/Account Information:

If we have registration and/or a log-on experience, this would include the information we collect when you create an account such as name, email and/or other information to provide account related functionalities to our users. If you choose to register and/or provide information, you agree to provide and maintain true, accurate, current and complete information about yourself.

Please note that if you allow others to use your account (including others you permit to set up profiles under your account), they may be able to view information about your account or any of the profiles under your account.

Information Retention:

We keep your Personal Data only as long as necessary to provide you with the Services and for legitimate and essential business purposes, such as maintaining the performance of the website and associated services, making data-driven business decisions about new features and offerings, complying with our legal obligations, and resolving disputes. Due to regulatory and information retention requirements, we do not delete your information when you deactivate your account. We will, disable your account and cease sending any communications.

Access To Information:

We rely on you to ensure your information is accurate and up-to-date. To keep your Personal Data accurate, current and complete, please contact us as specified at the below address or help@engine.tech. We will take reasonable steps to update or correct Personal Data in our possession that you have previously submitted via the Services.

Exclusions:

This Privacy Policy does not apply to any Personal Data collected by Engine by MoneyLion other than Personal Data collected through the Services. This Privacy Policy shall not apply to any unsolicited information you provide to Engine by MoneyLion through the Services or through any other means. This includes, but is not limited to, information posted to any public areas of the Services, such as forums, any ideas for new products or modifications to existing products, and other unsolicited submissions (collectively, “Unsolicited Information”). All Unsolicited Information shall be deemed to be non-confidential and Engine by MoneyLion shall be free to reproduce, use, disclose, and distribute such Unsolicited Information to others without limitation or attribution.

Children’s Privacy Online:

Engine by MoneyLion does not knowingly collect Personal Data from children under the age of 16. If you are under the age of 16, please do not submit any Personal Data through the Services. We encourage parents and legal guardians to monitor their children’s Internet usage and to help enforce our Privacy Policy by instructing their children never to provide Personal Data on the Services without their permission. If you have reason to believe that a child under the age of 16 has provided Personal Data to Engine by MoneyLion through the Services, please contact us, and we will endeavor to delete that information from our databases.

This Privacy Policy applies only to the Services. The Services may contain links to other websites not operated or controlled by Engine by MoneyLion (the “Third-Party Sites”). The policies and procedures we described here do not apply to the Third-Party Sites. The links from the Services do not imply that Engine by MoneyLion endorses or has reviewed the Third-Party Sites. Social Media

Through the Site, you can choose to access certain social media websites and services that are owned and/or controlled by third parties (including, without limitation, Facebook, Twitter, Instagram, and others) (such websites and services, collectively, the “Social Media Services”). When you elect to access and use the Social Media Services, you will be sharing your information (which will include personal information if you elect to share such information) with those Social Media Services. As with other Third-Party Sites, the information that you share with the Social Media Services will be governed by the privacy policies and terms of service of the providers of such Social Media Services and not by the policies and procedures we describe here. Security:

Engine by MoneyLion takes reasonable steps to protect the Personal Data provided via the Services from loss, misuse, and unauthorized access, disclosure, alteration, or destruction. However, no Internet or email transmission is ever fully secure or error free. In particular, email sent to or from the Services may not be secure. Therefore, you should take special care in deciding what information you send to us via email. Please keep this in mind when disclosing any Personal Data to Engine by MoneyLion via the Internet. By using the Services or providing Personal Data to us, you agree that we may communicate with you electronically regarding security, privacy and administrative issues relating to your use of the Services. If we learn of a security system’s breach, we may attempt to notify you electronically by posting a notice on the Services or by sending an email to you. International Users:

The Service is hosted and intended solely for consumers in the United States. All Personal Data is stored on servers in the United States and is subject to United States law. By choosing to use the Services or otherwise provide information to us, you agree that any dispute over privacy or the terms contained in this Privacy Policy will be governed by the law of the state of New York and the adjudication of any disputes arising in connection with the Services will be in accordance with the Terms of Service at https://engine.tech/terms-of-service/.

If you are visiting the Services from the European Union or other regions with laws governing data collection and use, please note that you are agreeing to the transfer of your information to the United States and the global processing of such information. Changes to Engine by MoneyLion’s Privacy Policy:

Engine by MoneyLion reserves the right to update or modify this Privacy Policy at any time and from time to time without prior notice. Please review this policy periodically, and especially before you provide any Personal Data. This Privacy Policy was last updated on the date indicated above. Your continued use of the Services after any changes or revisions to this Privacy Policy shall indicate your agreement with the terms of such revised Privacy Policy.

New Uses of Personal Data: From time to time, we may desire to use Personal Data for uses not previously disclosed in our Privacy Policy. How We Respond to “Do Not Track” Signals:

Our Site currently does not respond to “Do Not Track” (DNT) signals and operates as described in this Privacy Policy whether or not a DNT signal is received. If we do so in the future, we will describe how we do so in this Privacy Policy.

This STATE PRIVACY POLICY supplements the information contained in the Privacy Policy of Engine by MoneyLion (“we,” “us,” or “our”) and applies solely to consumers who reside in the State of California Virginia, Nevada, Connecticut, or Vermont (“consumers” or “you”). We adopt this statement to comply with the California Consumer Privacy Act of 2018 incorporating any amendments thereto, including but not limited to the California Privacy Rights Act (together, “CCPA”), other California privacy laws, the Virginia Consumer Data Protection Act (“VCDPA”), Nevada Chapter 603A (“N603”), and Vermont’s Privacy of Consumer Financial and Health Information Regulation. If you use the Services you may review and request changes to any of your covered information that is collected.

Connecticut Privacy Rights

If collected, we will take reasonable measures to protect the confidentiality of Social Security numbers and limit access to those with a need for such information. We prohibit the unlawful disclosure of Social Security numbers.

Vermont Privacy Rights

We will not share Personal information with nonaffiliates for them to market to you without your authorization and we will not share personal information with affiliates or for joint marketing about your creditworthiness without your authorization.

Opt Out

Like many companies, we use services that help deliver interest-based ads and personalization to you, which may involve transfer of Personal Information to business partners for their use, such as Google Analytics. Because the definitions of ‘Personal Information,’ ‘share,’ and ‘sale’ under CCPA are broad, making Personal Information available to these companies may be considered a “sale” or “sharing” under CCPA. As such, you can exercise your right to opt out of these sales by:

  1. Visit privacyrights.info to opt out from sales of this type of personal information by third-party businesses that participate in the DAA’s CCPA Opt-Out Tool, and

  3. Follow the instructions in the “Third-Party Web Beacons and Third-Party Buttons” section in the Engine by MoneyLion to opt out of interest-based advertising and other cookie-related information collection and processing.

Exercising Your Privacy Rights

To make a request according to your rights under applicable privacy laws, click here or mail your request for the attention of the Privacy / Legal Department to Engine by MoneyLion, 50 West 23rd Street, Suite 700, New York, NY 10001. You may exercise these rights via an authorized agent who meets the agency requirements of the applicable privacy laws. We cannot respond to your request or provide you with personal information if we cannot verify your identity or authority to make the request and confirm that the personal information relates to you. Any request you submit to us is subject to an identification and residency verification process

The verifiable consumer request must:

• Provide sufficient information that allows us to reasonably verify you are the person about whom we collected Personal Information or an authorized representative.

• Describe your request with sufficient detail that allows us to properly understand, evaluate, and respond to it.

Verifying Your Request

We cannot respond to your request or provide you with Personal Information if we cannot verify your identity or authority to make the request and confirm the Personal Information relates to you. Making a verifiable consumer request does not require you to create an account with us. We will only use Personal Information provided in a verifiable consumer request to verify your identity or authority to make the request. We may otherwise limit our response to your request as permitted under applicable law.

Whenever feasible, we will match the identifying information provided by you to the Personal Information we maintain. Some personal information we maintain about Consumers is not sufficiently associated with enough personal information about the Consumer for us to be able to verify that it is a particular consumer's personal information (e.g., data tied only to a pseudonymous browser ID). As required by the applicable law, we do not include that personal information in response to verifiable consumer requests. If we cannot comply with a request, we will explain the reasons in our response.

We will make commercially reasonable efforts to identify consumer personal information that we collect, process, store, disclose, and otherwise use and to respond to your privacy rights requests. We will typically not charge a fee to fully respond to your requests, but we may charge a reasonable fee, or refuse to act upon a request, if your request is excessive, repetitive, unfounded, or overly burdensome.

With respect to requests submitted on your behalf by your authorized agent, please note that we may deny a request from an authorized agent if the agent cannot provide your signed permission demonstrating that they have been authorized by you to act on your behalf.

Deletion Requests

We may deny your deletion request if retaining the Personal Information is necessary for us or our service providers to:

  1. Complete the transaction for which we collected the Personal Information, provide a good or service that you requested, take actions reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform our contract with you.

  2. Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities.

  3. Debug products to identify and repair errors that impair existing intended functionality.

  4. Exercise free speech, ensure the right of another consumer to exercise their free speech rights, or exercise another right provided for by law.

  5. Comply with the California Electronic Communications Privacy Act (Cal. Penal Code § 1546 sec.)

  6. Engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws, when the information's deletion may likely render impossible or seriously impair the research's achievement, if you previously provided informed consent.

  7. Enable solely internal uses that are reasonably aligned with consumer expectations based on your relationship with us.

  8. Comply with a legal obligation.

  9. Make other internal and lawful uses of that information that are compatible with the context in which you provided it.

Response Timing and Format

We endeavor to respond to a verifiable consumer request within 45 days of its receipt. If we require more time (up to 90 days), we will inform you of the reason and extension period in writing. If you have an account with us, we will deliver our written response to that account.

Non-Discrimination

We will not discriminate against you for exercising any of your privacy rights.

Virginia, Colorado, and Connecticut Appeal Process

If you have made a request to access, correct, or delete your Personal Information under VCDPA, CPA, and CTDPA, and we have declined to take action, you may appeal our decision within 45 days of the denial.

California “Shine the Light” law

California's "Shine the Light" law, Civil Code section 1798.83, requires certain businesses to respond to requests from California customers asking about the businesses' practices related to disclosing personal information to third parties for the third parties' direct marketing purposes. We do not currently engage in the type of sharing covered by that law and so no such list exists. We do not make any representations concerning third parties that do not collect personal information directly through our Services.

You agree that Engine by MoneyLion will not be liable to you or to any third party for any modification, suspension or discontinuance of the Services.

General Practices Regarding Use and Storage

You acknowledge that Engine by MoneyLion may establish general practices and limits concerning use of the Services, including without limitation the maximum period of time that data or other content will be retained by the Services and the maximum storage space that will be allotted on Engine by MoneyLion’s servers on your behalf. You agree that Engine by MoneyLion has no responsibility or liability for the deletion of or failure to store any data or other content maintained by or uploaded to the Services. In addition, as described herein, we will share information you submit to us with financial providers in order to provide our Services. By submitting an inquiry, signing up for an account, or otherwise inputting information on or through our Site, you give us permission to retain all such provided information, and any other information we collect or may receive about you. You further acknowledge that Engine by MoneyLion reserves the right to change these general practices and limits at any time, in our sole discretion, with or without notice.

Mobile Services

The Services include certain services that may be available via a mobile device, including (i) the ability to submit information or upload content to the Services via a mobile device and (ii) the ability to browse the Services and the Site from a mobile device (collectively, the “Mobile Services”). To the extent you access the Services through a mobile device, your wireless service carrier’s standard charges, data rates and other fees may apply. In addition, using certain Mobile Services may be prohibited or restricted by your carrier, and not all Mobile Services may work with all carriers or devices. By using the Mobile Services and/or providing your mobile telephone number to us through the Services, you agree that we may communicate with you regarding Engine by MoneyLion and our financial providers by SMS, MMS, or other electronic means to your mobile device and that certain information about your usage of the Mobile Services may be communicated to us. In the event you change or deactivate your mobile telephone number, you agree to promptly update information that you have submitted to us to ensure that your messages are not sent to the person that acquires your old number.

Electronic Notices and Communication

By using the Services, you agree that we may communicate with you electronically via email regarding security, privacy and administrative issues relating to your use of the Services. If we learn of a security system’s breach, we may attempt to notify you electronically by posting a notice on the Services or sending an email to you. You may have a legal right to receive this notice in writing. CONDITIONS OF USE

User Conduct

You are solely responsible for all information, data, text, software, messages or other materials (“content”) that you submit or upload to the Services or otherwise use via the Services. The following are examples of the kind of content and/or use that is illegal or prohibited by Engine by MoneyLion. Engine by MoneyLion reserves the right to investigate and take appropriate legal action against anyone who, in Engine by MoneyLion's sole discretion, violates this provision, including without limitation, removing the offending content from the Services, blocking such violator’s access to the Services and reporting the violator to law enforcement authorities. You agree to not use the Services to:

a) email or otherwise submit or upload any content that (i) infringes any intellectual property or other proprietary rights of any party; (ii) you do not have a right to submit or upload under any law or under contractual or fiduciary relationships; (iii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (iv) poses or creates a privacy or security risk to any person; (v) constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “contests,” “sweepstakes,” or any other form of solicitation; (vi) is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful racially, ethnically or otherwise objectionable; or (vii) in the sole judgment of Engine by MoneyLion, is objectionable or which restricts or inhibits any other person from using or enjoying the Services, or which may expose Engine by MoneyLion or our users to any harm or liability of any type;

b) interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services; or

c) violate any applicable local, state, national or international law, or any regulations having the force of law;

d) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;

e) solicit personal information;

f) harvest or collect email addresses or other contact information of other users from the Services by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;

g) further or promote any criminal activity or enterprise; or

h) obtain or attempt to access or otherwise obtain any materials or information through any means not intentionally made available or provided for through the Services.

Special Notice for International Use; Export Controls

Software (defined in the section on “Intellectual Property Rights” below) available in connection with the Services and the transmission of applicable data, if any, is subject to United States export controls. No Software may be downloaded from the Services or otherwise exported or re-exported in violation of U.S. export laws. Your use of the Software is at your sole risk. Recognizing the global nature of the Internet, you agree to comply with all local rules and laws regarding your use of the Services, including as it concerns online conduct and acceptable content.

Commercial Use Not Permitted

Protected Areas

Certain areas of the Site and Services may be password restricted to registered users (“Password Areas”). If you are a registered user of the Password Areas, you agree that you are entirely responsible for maintaining the confidentiality of your password. Registration data, information that you enter into our tools or forms, and certain other information about you are governed by our Privacy Policy.

Feedback

We may also provide you opportunities to review our Services with comments, suggestions, survey answers, questions, through third-party review websites and other feedback regarding our Services. These communications may be provided to you via email, social media, surveys, or similar means. By submitting and providing your Feedback you consent to its use in any manner and for any purpose to optimize, improve, promote or market our Services in accordance with our Privacy Policy. Any dealings you have with third parties are between you and the third party and their privacy policy and terms.

In connection with your use of the Services you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. Any use of the Services or the Service Content other than as specifically authorized herein is strictly prohibited. The technology and software underlying the Services or distributed in connection therewith is the property of Engine by MoneyLion, our affiliates and our financial providers (the “Software”). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by Engine by MoneyLion.

The Engine by MoneyLion name and logos are trademarks and service marks of Engine by MoneyLion (collectively the "Engine by MoneyLion Trademarks”). Other company, product, and service names and logos used and displayed via the Services may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to Engine by MoneyLion. Nothing in these Terms of Service or the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of Engine by MoneyLion Trademarks displayed on the Services, without our prior written permission in each instance. All goodwill generated from the use of the Engine by MoneyLion Trademarks will insure to our exclusive benefit.

Third-Party Material

Under no circumstances will Engine by MoneyLion be liable in any way for any content or materials of any third parties (including users), including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content. You acknowledge that Engine by MoneyLion does not pre-screen content from third parties, but that Engine by MoneyLion and our designees will have the right (but not the obligation) in our sole discretion to refuse or remove any content that is available via the Services. Without limiting the foregoing, Engine by MoneyLion and our designees will have the right to remove any content that violates these Terms of Service or is deemed by Engine by MoneyLion, in our sole discretion, to be otherwise objectionable. You agree that you must evaluate, and bear all risks associated with the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.

User Content Transmitted Through the Service

With respect to the content or other materials you submit or upload to the Services (collectively, “User Content”), you represent and warrant that you own all right, title and interest in and to such User Content, including, without limitation, all copyright and rights of publicity contained therein. By uploading any User Content you hereby grant and will grant Engine by MoneyLion and our affiliated companies a nonexclusive, worldwide, royalty free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, store, modify and otherwise use your User Content in connection with the operation of the Services, in any form, medium or technology now known or later developed.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Services (“Submissions”) provided by you to Engine by MoneyLion are non-confidential and Engine by MoneyLion will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

You acknowledge and agree that Engine by MoneyLion may preserve content and may also disclose content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws or government requests; (b) enforce these Terms of Service; (c) respond to claims that any content violates the rights of third parties; or (d) protect the rights, property or personal safety of Engine by MoneyLion, our users and the public. You understand that the technical processing and transmission of the Services, including your content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

You acknowledge, agree and authorize that (a) your information may be sent to financial providers on your behalf, (b) your information may be used in order to make sure you are who you say you are, and to determine how much debt you currently have in order to determine your debt-to-income ratio, (c) such financial providers may obtain consumer reports and related information about you from one or more consumer reporting agencies, such as TransUnion, Experian and Equifax, and (d) your information may be used to make prequalification and other credit or insurance decisions.

Third Party Websites

The Services may provide, or third parties may provide, links or other access to other sites and resources on the Internet. Engine by MoneyLion has no control over and is not responsible for such sites and resources, and links to such sites and resources do not indicate Engine by MoneyLion's endorsement of or affiliation with such sites and resources. You further acknowledge and agree that Engine by MoneyLion will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, events, goods or services available on or through any such site or resource. Any dealings you have with third parties found while using the Services are between you and the third party, and you agree that Engine by MoneyLion is not liable for any loss or claim that you may have against any such third party.

Indemnity and Release

You agree to release, indemnify and hold Engine by MoneyLion and our affiliates and our and their officers, employees, directors and agents harmless from any and all losses, damages, expenses, including reasonable attorneys’ fees, rights, claims, actions of any kind and injury (including death) arising out of or relating to your use of the Services, any User Content, your connection to the Services, your violation of these Terms of Service or your violation of any rights of another. If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.” If you are a resident of another jurisdiction, you waive any comparable statute or doctrine.

However, if you withdraw this E-Consent before receiving credit, you may be prevented from obtaining credit from the service provider. ENGINE BY MONEYLION MAKES NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT ENGINE BY MONEYLION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES OR DAMAGES FOR LOSS OF PROFITS, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF ENGINE BY MONEYLION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICES. IN NO EVENT WILL ENGINE BY MONEYLION TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES OR CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU. Dispute Resolution

Any controversy or claim arising out of or relating to these Terms of Service or the breach thereof shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules (including the Optional Rules for Emergency Measures of Protection), and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitration proceedings shall be conducted before one (1) neutral arbitrator selected by the American Arbitration Association. The place of arbitration shall be New York, New York. Either party may apply to the arbitrator seeking injunctive relief until the arbitration award is rendered or the controversy is otherwise resolved. Either party may, without waiving any remedy under these Terms of Service, seek from any court having jurisdiction any interim or provisional relief that is necessary to protect the rights or property of that party, pending the establishment of the arbitral tribunal (or pending the arbitral tribunal’s determination of the merits of the controversy).

Termination

You agree that Engine by MoneyLion, in our sole discretion, may suspend or terminate your use of the Services and remove and discard any content within the Services for any reason, including, without limitation, for lack of use or if Engine by MoneyLion believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Service. Any suspected fraudulent, abusive or illegal activity that may be grounds for termination of your use of the Services may be referred to appropriate law enforcement authorities. Engine by MoneyLion may also in our sole discretion and at any time discontinue providing the Services or any part thereof, with or without notice. You agree that any termination of your access to the Services under any provision of these Terms of Service may be effected without prior notice, and acknowledge and agree that Engine by MoneyLion may immediately delete any information you have submitted or uploaded to the Services and/or bar any further access to such information or the Services. Further, you agree that Engine by MoneyLion will not be liable to you or any third party for any termination of your access to the Services, and that Engine by MoneyLion may take any measures we deem necessary to restrict access to the Services, including blocking IP addresses.

User Disputes

You agree that you are solely responsible for your interactions with financial providers or any services about which you obtain information through the Services, and Engine by MoneyLion will have no liability or responsibility with respect thereto. Engine by MoneyLion reserves the right, but has no obligation, to become involved in any way with disputes between you and any such financial providers or services.

General

These Terms of Service constitute the entire agreement between you and Engine by MoneyLion and govern your use of the Services, superseding any prior agreements between you and Engine by MoneyLion with respect to the Services. You also may be subject to additional terms and conditions that may apply when you use affiliate or third-party services, third-party content or third-party software. These Terms of Service will be governed by the laws of the State of New York without regard to its conflict of law provisions. With respect to any disputes or claims not subject to arbitration as set forth above, you and Engine by MoneyLion agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within New York, New York. The failure of Engine by MoneyLion to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of such right or provision. If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms of Service remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred. A printed version of this agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You may not assign these Terms of Service without the prior written consent of Engine by MoneyLion, but Engine by MoneyLion may assign or transfer these Terms of Service, in whole or in part, without restriction. The section titles in these Terms of Service are for convenience only and have no legal or contractual effect. Notices to you may be made via either email or regular mail. The Services may also provide notices to you of changes to these Terms of Service or other matters by displaying notices or links to notices generally on the Services.

We are not a lender or correspondent lender. We do not make mortgage loans or commitments or take applications and cannot guarantee acceptance into any particular loan program by any Lender, or specific loan terms or conditions. We are an independent contractor and do not act as an agent or advisor to you or any financial service provider. We enter into mortgage loan brokerage contracts with consumers only to the extent required by state law. Any loan may be co-brokered but not in South Carolina. This Notice does not create an exclusive relationship and remains in effect only as long as you seek to use our services. You may discontinue this relationship at any time, without notice, at no cost or penalty to you.

II. Services and Duties

In order to operate our online platform and loan matching service in compliance with law, we are required to be licensed in some states as a mortgage loan broker and/or mortgage loan originator. However, we do not act as a lender or credit provider. We do not take applications, make loans or credit decisions in connection with loans, issue commitments or lock-in agreements, or fund loans. Our services are purely administrative. You are not required to use our computerized loan matching services in order to obtain a residential mortgage loan.

We will perform the following services for you: (1) make loan request forms available to you; (2) transmit your completed loan request to participating lenders in our network; (3) offer you access to general educational information concerning home financing including glossaries, articles, and calculators; and (4) send you the initial loan offers from lenders responding to your loan request.

Any loan request you submit is NOT an application for credit. Rather, it is a request to be matched with prospective third-party lenders to receive conditional loan offers from those lenders. Any lender will require you to submit a loan application to them for their consideration before extending an offer. One or more lenders may provide you with their loan product offers.

We do not issue loan approvals, loan commitments, or make any guarantees on behalf of any lender. We do not connect you with every lender in the market, so other lenders and loans not listed on our service may be available to you, and those other loans may have different terms and conditions, including lower rates. We cannot guarantee the lowest price or best terms available in the market. We do not endorse or recommend particular lenders or products. Your personal financial situation is unique, and it is your responsibility to evaluate the information and content provided, before making any financial decisions. You should rely on your own judgment in deciding which available loan product, terms, and lender best suits your needs and financial means or consider obtaining additional information and/or advice from a qualified financial advisor who is fully aware of your individual circumstances.

The lenders are solely responsible for their services to you, and you agree that we will not be liable for any damages or costs of any type arising out of or in any way connected with your use of such services. You understand that lenders may keep your loan request information and any other information provided by us or received by them in the processing of your loan request, whether or not you are qualified for a loan with them or obtain a loan from them. You agree to notify any particular lender directly if you no longer want to receive communications.

III. Compensation and Fees

We provide our services at no cost to you and will not charge or seek fees of any kind from you. We may, however, receive compensation from lenders in different amounts for different products or services, ranging from $1.00 TO $1,000,000.00 and may be paid based on the goods, facilities, or services performed or provided by us to lenders. We will be compensated in compliance with Section 1026.36(d) of Regulation Z (12 CFR 1026.36(d)) (as applicable). The lenders or other service providers may charge you fees in connection with the loans or other products they offer. The amount of any fee will be determined by the lender.

If your loan request is forwarded to a prospective lender that makes you an offer, you should receive from the lender a disclosure, sometimes referred to as a good faith estimate (GFE) of the settlement costs of your loan, and now generally referred to as a Loan Estimate form as required by the TILA-RESPA Integrated Disclosure Act. The disclosure sets forth the various loan terms and costs involved, such as a credit report fee, property appraisal fee, or other third-party fees in connection with your loan.

The interest rate quoted in connection with the loan you select is subject to change without notice, unless and until an interest rate lock-in agreement has been entered into between you and the lender. We do not offer interest rate lock-in agreements and do not guarantee any interest rate quoted by a participating lender. If you enter a lock-in agreement with the lender and are required to pay an interest rate lock-in fee, the terms and conditions under which the interest rate lock-in fee may be refunded, if any, will be set by the lender. The documentation you receive will include the information or terms and conditions on the refundability of any fees paid. We do not offer or provide any refund on behalf of any lender.

  • Written Agreement or Contract.
